The Bangla text is the original; this English text is a translation for convenience.
We provide the software and hosting to build and run an online shop; you are the seller. These terms are written in plain words. If anything is unclear, ask us.
1. What these terms are, and who they are for
- This is an agreement between you (the shop's owner) and us. "We" means StallNow; StallNow is the name of our service.
- The agreement starts when you open your account from the invitation link, after ticking "I have read and accept the terms and the privacy policy".
- Your shop's staff follow these terms in their own work. The owner is responsible for what staff do.
- Your agreement with your customers is separate. It is on your shop's "Terms", "Delivery policy" and "Returns & refunds" pages.
- The Bangla text of these terms is the original. The English text is a translation for convenience; if they differ, the Bangla text applies.
2. What some words mean
- "Shop": your online shop running on our software, its address and its dashboard.
- "Dashboard": the pages for running the shop, reached by adding /admin to the shop's address.
- "Owner": the person responsible for the shop. "Staff": people the owner adds to the dashboard. "Customer": someone who buys from the shop.
- "Package": Starter, Growth or Pro. "Sample shop": the shop we build and show you at no cost before you choose a package.
- "Bill": our statement of what a package costs; each bill has a number that starts with EC.
- "Operator": a member of our team who builds shops and helps you.
3. Who may use it, and accounts
- You must be at least 18, and the business must be lawful in Bangladesh.
- Give your real name and mobile number; if you give an e-mail, it must be real too.
- Every shop has at least one owner. How many people, you included, can use the dashboard depends on the package, as the pricing page says (stallnow.com/en#pricing).
- You sign in with an SMS code sent to your mobile number, or with an e-mail and password. A code works for 5 minutes.
- Never share a code or password. No one on our team will ever ask you for one.
- If you change your number or lose your SIM, change the number on the dashboard's "My account" page, or tell us on WhatsApp.
- If you see anything unfamiliar on your account, tell us at once.
4. The sample shop
- A sample shop costs nothing. We build it only from photos you send or approve.
- A sample shop stays open for 30 days, takes no orders, and does not appear on Google. If you need longer to decide, we can extend it.
- If you don't choose a package, all the shop's data and photos are deleted 14 days after it expires, and from our server's backups within 30 more days.
- Choose a package and the same shop starts taking orders.
5. Packages, prices and bills
- Package prices, limits and features are on our pricing page (stallnow.com/en#pricing). Bills are in Bangladeshi taka, monthly or once a year; a year costs the same as ten months.
- Your package period starts on the day your shop first takes orders, or on the day its free days end if it has any; for a shop that opened before these terms were published, on the day we start billing it, and the days before are not charged. Each period starts at midnight Dhaka time and ends on the same date the next month (the next year, for yearly); when that month has no such date, on its last day.
- A new shop's first 7 days are free, and it takes orders during them. Our operators may give your shop fewer or more free days; if they do, we tell you in writing.
- Each period's bill is issued 7 days before the period starts and is due by the period's first day. You never have to pay further ahead than the current period. If the package, cycle or price changes after a bill is issued, we cancel that bill and send a new one; anything already paid is taken off the new bill as credit.
- Bills and receipts are on the dashboard's "Billing and payments" page. We send an SMS when a bill is issued and on the day it is due.
- Pay to the bKash or Nagad number shown on the bill page, with the bill number as the reference, then enter the transaction ID (TrxID) in the dashboard. A member of our team matches the money in the merchant account and marks the bill paid. If the page shows a "Pay with bKash" button, you can pay that way too. If another way is needed, we tell you on WhatsApp.
- We never take money on our own; you pay each bill yourself.
- If you pay more than a bill, the extra is kept as credit and taken off the next bill. When the package stops, credit is refunded.
- We take no commission on your sales.
- No VAT is added to our bills at present. If VAT ever applies, it will be included in the published prices; if that means changing a price, we will tell you in advance under the rule below.
- If we raise a price, we tell you by SMS or WhatsApp at least 30 days before, and the new price applies from the first period that starts after that. A period already paid never changes price. If a price goes down, the lower price applies from the next period.
6. If a bill is not paid on time
- After a bill's due date there are 7 more days, during which the shop stays fully open. We send SMS reminders in that time and show a notice in the dashboard.
- If the money has not arrived, the shop closes (is suspended) to customers 7 days after the due date, at 10 am. Before it closes, we tell you the date and time by SMS.
- While the shop is closed, the dashboard stays open: you can download your lists of orders, customers and products from the dashboard's "Download your data" page, and pay the bill.
- When you pay a bill and enter its transaction ID for the first time, we do not close the shop until that payment has been checked. If it does not match, later IDs for the same bill no longer hold the closure.
- Paying reopens the shop at once, and the new period is counted from the day you pay; you are not charged for the days it was closed.
- There is no late fee. If a shop stays closed for more than 90 days, we cancel the old bill so that nothing builds up; reopening then needs a new bill.
- We never delete a shop's data because a bill is unpaid.
7. Changing packages, and limits
- A bigger package starts as soon as its extra bill is paid. The extra bill covers the days left in the current period, the difference between the two prices counted by the day; the new price applies from the next period. If the extra bill isn't paid, the package doesn't change, and the bill is cancelled 7 days after its due date.
- If our operator starts a bigger package straight away at your request, and its extra bill isn't paid within 7 days of its due date, the shop goes back to its previous package; it stays open.
- A smaller package, or a change between monthly and yearly, starts with the next period. Until then you keep everything in your current package. If the next period's bill was already issued, we send a new one at the new price.
- Before moving to a smaller package, remove what it does not allow: your own domain if the smaller package has none, and some staff if you have more than its seats.
- Products above a limit stay and can be edited, but no new ones can be added. Features the new package lacks (such as taking card payments through SSLCOMMERZ, or the Conversions API) stop.
- An order counts once it goes into processing; every order passes through that step before it goes to a courier, and orders cancelled before it don't count. When the month's order limit is reached, new orders and starting to process more stop for the rest of that month. How much is left shows on the dashboard's "Package and usage" page.
8. Refunds of our bills
- On a monthly package, a month that has started is not refunded; the shop stays open until the month ends.
- If you stop a yearly package part-way, the shop stays open until the end of the current month. We refund what you paid minus the monthly price for each month that has started; if nothing is left, nothing is refunded. The monthly price is the package's monthly price, or a tenth of your agreed yearly price when that is lower.
- If we charge you twice or bill you wrongly by mistake, we refund it in full.
- When a package stops, we also refund any credit and anything paid ahead for the next period.
- Refunds are sent within 10 days of becoming due (for a stopped package, of the shop closing), to the channel you paid from.
9. The shop is yours, and so is the business
- You are the seller, and the sale is between you and your customer. We provide software and hosting; we do not sell anything on your behalf.
- Prices, stock, delivery, returns, refunds, warranties and customer complaints are your responsibility.
- Follow the law of Bangladesh, in particular the Ministry of Commerce's "Digital Commerce Operation Guidelines 2021". Its main points, in plain words:
- show your trade licence or Digital Business Identity (DBID) number on the shop;
- give true photos, descriptions, sizes and prices, and write your delivery and returns rules in Bangla;
- if you take full payment in advance, hand the goods to a courier within 48 hours, and deliver within 5 days in the same city and within 10 days to another city or village;
- if you can't deliver, refund within 10 days through the channel the money came from;
- for goods you don't have in hand, take no more than 10 percent of the price in advance;
- answer customer complaints within 72 hours;
- keep your transaction records for at least 6 years; download your full lists of orders and payments regularly from the dashboard's "Download your data" page.
- When the shop opens, we write its delivery, returns, terms and privacy pages. They are first drafts; check them against your real rules and change them if needed.
- VAT and income tax on your sales are your responsibility.
10. What may not be sold
- The list of prohibited goods and conduct is in Annex B below. If it is broken, we remove the product, suspend the shop where needed, and inform the authorities when the law requires it.
11. Photos, text and AI-written drafts
- You own your photos and text. You allow us to use them only as far as running the shop needs (storing, resizing, displaying, drafting, backing up). The permission ends when the shop is deleted.
- Don't upload other people's photos, logos or text without their permission.
- AI drafts product names and descriptions from photos. A member of our team reads each draft, but you review and correct it yourself before it is shown; a wrong description is the seller's responsibility towards the customer.
- When you choose a package, we add your products from the information you give: all of them on every package, up to the package's product limit. Check them before they are shown.
- We show your shop or photos in our own promotion only with your written permission.
- If someone reports a copyright or trademark breach, we hide the product and tell you.
12. Customers' money never passes through us
- Cash on delivery is collected by the courier and paid to you.
- Payments by bKash, Nagad or SSLCOMMERZ go straight into your own merchant account. We keep the account's credentials encrypted and never show them to anyone.
- Gateway charges and terms are between you and the gateway.
- If a gateway's notice of a payment never arrives, we ask the gateway for the transaction's status using your account's credentials, and update the order. If a bKash payment is left incomplete after the customer entered their PIN, we may complete it within 45 minutes of its start, provided the order has not been cancelled and no newer payment has been started.
13. Couriers
- Your Steadfast or Pathao account is your own. We keep its API credentials, and for Pathao your panel e-mail and password, encrypted.
- When you press "Send to courier", we send the courier the customer's name, phone, address, the item description and the amount to collect. The consignment and tracking numbers are added to the order, and the customer sees the courier's link on the shop's "Track order" page.
- We update the order's status from the courier's reports, for example "Delivered" when the parcel arrives. Whether the order becomes "Shipped" as soon as the courier picks it up is a choice you make in courier settings.
- Late, lost or damaged parcels, and cash-on-delivery money, are between you and the courier.
14. Customers' data
- Your customers' data is your responsibility (in legal terms you are the "data fiduciary"); we keep and process it on your behalf (the "processor"). Details are in Annex A below.
- We never sell this data, never use it for our own promotion, and never use it beyond your instructions and running the shop.
- Keep your shop's "Privacy policy" page accurate. We write the "Data and cookies" section below it ourselves, from your settings.
- If you turn on the Meta Pixel or the Conversions API, telling your customers is your responsibility; with a pixel on, we also show a short notice in the shop.
- If a customer asks for their data to be deleted, you can delete it with "Erase this customer's details" on that customer's page in the dashboard.
- Downloaded order files contain customers' phones and addresses; keep them safe.
15. What we do, and its limits
- We provide hosting, a secure HTTPS connection, nightly backups kept in a separate place, security updates, and help on WhatsApp every day from 10 am to 10 pm.
- We do not guarantee that the shop will always be available. If there is a major problem, we tell you on WhatsApp.
- Our operators may work in your shop to build it or at your request. Every change they make is written in your shop's activity record.
- If a government body or court makes a written, lawful request, we give only what was asked for, and tell you unless the law forbids it.
- We may change and improve the software. If we stop a feature that is part of a package's price, we tell you at least 30 days before.
16. Your own domain
- The domain is bought in your name, and renewed at your cost. We only connect it to the shop.
- Keeping the domain's DNS correct is your responsibility. If the domain expires or its DNS changes, the shop keeps running at your subdomain of stallnow.com.
17. SMS
- Order updates and verification codes are sent from our SMS account; customers' messages start with your shop's name. Billing messages are sent in our name.
- To prevent abuse, sending codes is limited per number, per address and per account. If many wrong codes are entered for a number, signing in with it from a new device is paused and the number gets an SMS; signing in from a known device or with e-mail turns it back on.
- An SMS may fail to arrive because of the SMS operator; that is why we also show billing notices in the dashboard.
18. Closing, suspension and keeping data
- You can stop your package in any month; there is no contract and no penalty. When the paid period ends (for a yearly package, when the current month ends), the shop closes to customers.
- We may also suspend a shop for reasons other than billing: prohibited goods, evidence of fraud or of taking advance payment without delivering, a court or authority's order, or a security risk.
- In such cases we normally give 7 days' written notice with the reason. In serious or legal cases we suspend at once and give the reason afterwards. If you object, tell us within 14 days; we answer within 7 days.
- While a shop is suspended for a reason other than billing, we send no billing SMS and no grace period runs out. When it reopens, you have at least 7 days to pay anything overdue. If the suspension was our mistake, we add the days it was closed at no cost.
- A closed or suspended shop keeps its dashboard open, and you can download your lists of orders, customers and products from its "Download your data" page.
- We do not delete a closed shop's data on our own. We keep all of it for at least 12 months after the shop closes. If we ever need to delete it after that, we tell you by SMS and WhatsApp at least 30 days before, so that you can download it.
- What the law requires us to keep (our bills, payment records and your acceptance records) we keep for 6 years after the account closes.
19. Limit of liability
- We are not liable for indirect loss (such as lost profit or harm to reputation).
- Failures of couriers, payment gateways, Meta, SMS operators or internet connections are theirs.
- In total, our liability is at most what you paid us for your package in the last 3 months.
- This limit does not cover liability the law does not allow us to limit, or harm we cause on purpose.
20. Indemnity
- If someone makes a claim against us because of your products, your advertising, your shop's text or your breaking the law, you bear the reasonable cost of it.
21. Changes to these terms
- We tell you by SMS or WhatsApp at least 30 days before changing these terms, and show a notice in the dashboard. For a major change we ask you to press "I accept" again.
- Continuing to run the shop after the notice period counts as accepting the new terms. If you don't accept them, you can stop your package from the dashboard's "Billing and payments" page before they count as accepted: the shop stays open until the day the new terms apply, and we refund the days paid for after that, counted by the day.
- A change the law makes urgent may apply at once; we then tell you why.
- Earlier versions are listed with their dates at the foot of this page.
22. Disputes
- If there is a problem, tell us in writing first; we will try to settle it within 15 days.
- If it isn't settled, the law of Bangladesh applies, and the courts of Dhaka have jurisdiction.
23. Contact and notices

- Our notices go to the owner's mobile (by SMS or WhatsApp) and appear as a notice in the dashboard.
Annex A: Terms for processing customers' data
- We process data only on your instructions: running the shop, orders, SMS, and the features you turn on (the pixel, the Conversions API, payment gateways, couriers).
- The members of our team who see data are bound to keep it confidential. Every operator action is recorded in the shop's activity record.
- Security: data is kept separate from shop to shop; gateway and courier credentials are encrypted; passwords are stored in coded (hashed) form; HTTPS everywhere; nightly backups in a separate place; limits on sign-in attempts.
- The services we use are listed in our privacy policy (stallnow.com/en/privacy). If we add one, we tell you at least 30 days before.
- If data is breached, we tell you within 72 hours of finding out, and act as the Authority's rules require.
- If a customer wants to see, correct or delete their data, we help you; the dashboard has a way to delete it.
- When the agreement ends, you can still download your lists of orders, customers and products from the dashboard's "Download your data" page; after that we keep or delete the data under section 18.
- If an authority lawfully inspects, we cooperate.
- Data leaves Bangladesh only for the services named in the privacy policy. We never collect national ID, passport or biometric data.
Annex B: Prohibited goods and conduct
- Narcotics and intoxicants; explosives; weapons, ammunition and their parts.
- Any medicine (allopathic, ayurvedic, unani or homeopathic), until a licence-check process exists.
- All tobacco and nicotine products, e-cigarettes and vapes.
- Gambling, betting and lotteries without permission; MLM or network schemes.
- Counterfeit, stolen or smuggled goods; goods or images that breach someone's trademark or copyright.
- Wild animals, their parts, or things made from them.
- Pornography, and anything that harms children.
- Human organs; forged identity cards, certificates or documents; other people's mobile banking, bank or social media accounts.
- Hacking or eavesdropping devices and software; spam.
- Products that need a mandatory BSTI certificate, without one; expired or adulterated food.
- Taking advance payment without delivering; fake discounts or "last few left" pressure; selling while posing as another brand or shop.
